Statement of Organization and Purpose for the
Board of Advisors of the
SFA Pineywoods Native Plant Center (NPC)

PURPOSE
Assist in the solicitation of gifts and grants from individuals, corporations, and foundations. Assist in developing and implementing a long-term strategic action plan. Assist the SFA Pineywoods NPC with technical expertise regarding plant acquisition, documentation, study, evaluation and conservation.

MEMBERSHIP
Membership will consist of 12 members plus six standing members. Members are selected by the executive committee, based on interest and willingness to serve. An advisory board member serves a three-year term. Renewal is subject to approval by the executive committee. A member may be removed at any time by a 2/3 vote of the membership of the Board of Advisors.

OFFICERS
1) The officers of the board of advisors will constitute the executive committee.
2) The executive committee will include a chair, a vice chair, a treasurer and a secretary.
3) The co-Directors of the SFA Pineywoods NPC will be the Director of the SFA Mast Arboretum and the Director of the Forest Resources Institute; each will be permanent and voting members of the Executive Board and will have veto rights over budget expenditures affecting the university.
4) The chair of the executive committee shall preside at all regular meetings of the Board of Advisors.
5) Officers will serve three years; the vice-chair will succeed the chair. Elections will be held at the first meeting of the fiscal year.
6) The executive committee will be empowered to create committees.
7) The executive committee will be empowered to make decisions to be put before the Board for approval.

SELECTION
During the first year, the executive committee should be elected by the establish membership of the Board of Advisors. In all years following, nominees for officers composing the executive committee will be presented and voted on by the Board of Advisors during the first meeting of the fiscal year. In case an officer is unable to finish an elected term, the executive committee will have the right to appoint a willing member of the Board of Advisors to serve in the vacated position.

MEMBER RESPONSIBILITIES
1) Attend a majority of the meetings called each year.
2) Actively participate in the functioning of the Board and support of the SFA Pineywoods NPC.
3) Be available for individual consultation.

These by-laws can be amended by a simple majority of the Board of Advisors. Any amendments to the by-laws must be distributed to the membership of the Board of Advisors at least 30 days prior to the vote.

MISSION STATEMENT:-- The mission of the SFA Pineywoods Native Plant Center is to promote the education, conservation and use of native plants of the Southern Forest.
